1. Scope of Application and Acceptance

1.1. Application and Opposability

These General Conditions of Sale (GCS) apply to all services concluded by Alexandru Isari (hereinafter referred to as the "Service Provider") with its clients. Any order or acceptance of a quote implies the Client’s unreserved adherence to these GCS.

2. Quote, Order and Right of Withdrawal

2.1. Validity of the Quote

The quote established by the Service Provider is valid for a duration of 30 days. The contract is deemed to be formed only upon receipt of the written acceptance (signature or email) from the Client and the payment of the agreed deposit.

2.2. Deposit and Commitment

Once the deposit of 50% of the total amount of the quote is paid, it is non-refundable, except in cases of proven force majeure. This payment confirms the firm commitment of the Client.

3. Obligations and Responsibilities of the Client

3.1. Supply of the Elements

The Client undertakes to provide the Service Provider with all the content (texts, images, logos, technical access, etc.) necessary for the proper execution of the mission, within the time specified in the quote or project schedule.

3.2. Client’s Delay

Any delay in the supply of items by the Client will postpone the delivery time initially agreed upon, without the Service Provider being held liable. If the delay exceeds 15 days, the Service Provider reserves the right to put the project on hold and charge a project resumption fee of €200.

4. Intellectual Property and Transfer of Rights

4.1. Retention of Title

The Service Provider retains full intellectual property of all productions (source code, design, technical content) until full and effective payment of all amounts owed by the Client.

4.2. Transfer

The transfer of rights to use the final product (the website) is only effective from the final payment. The Service Provider retains the right to use and publicly display the project carried out as a commercial reference (on its portfolio), unless a specific confidentiality clause has been agreed upon in writing.

5. Pricing and Payment Terms

5.1. Additional Modifications (Out of Quote)

Any request for modification or addition not provided for in the initial quote will be subject to an additional quote and additional billing. The Service Provider is not required to start additional work as long as the Client has not validated this new quote.

5.2. Late Penalty

In the event of non-payment at the agreed due date, late payment penalties will be due, calculated on the basis of three (3) times the legal interest rate in force, applicable from the day after the invoice due date.

6. Limitation of Liability

6.1. Exclusions

The Service Provider is not liable for any direct or indirect damages caused by the use of third party services (hosting, payment gateways, content providers), nor for malfunctions occurring after the thirty (30) days warranty phase following final delivery.

7. Dispute Resolution

7.1. Governing Law and Jurisdiction

These GCS are governed by Belgian law. In the event of a dispute concerning the performance of the contract, the parties shall endeavour to find an amicable settlement. Failing this, the dispute will be brought before a competent court.
